Forming an LLC: Preparing to Meet Your Attorney

Before you first meet your attorney when setting up an LLC (limited liability company), do your homework. Gather pertinent LLC information for your attorney to save time. (Translation: Fewer billable hours = Lower legal fees!) Follow this checklist to make sure you have everything set up before the meeting:
Create a file for your attorney. Place copies of all pertinent documents and information in a folder, and attach your contact information to the front.
E-mail the attorney to ask if there’s anything in particular you should bring to the meeting. It never hurts to ask.
Make copies of all corporate paperwork. This includes your articles of organization, your operating agreement, and so on. See Chapters 6 and 9 for more information.
List immediate projects that the attorney needs to work on. Gather any important facts or documentation. Make copies for the attorney’s file.
Jot down the names and contact information of all operating managers and pertinent members. The attorney will also need information on any other important business contacts.
Make copies of all paperwork relevant to the issues that the attorney will be handling. Include copies of leases, contracts, court notices, correspondence, and filings.
Prepare a list of questions that you want answered. Make a list of the gray areas that the attorney can help you with after you’ve done your research. Make sure to leave enough space on the page to jot down answers.
